By accessing or using the GuardWell Compliance platform, you agree to be bound by these Terms of Service. If you are using the platform on behalf of a medical practice or organization, you represent that you have the authority to bind that entity to these terms.

2. Description of Service

GuardWell Compliance provides a healthcare compliance management platform that includes modules for HIPAA, OSHA, OIG, CLIA, MACRA/MIPS, DEA, CMS, TCPA, state law compliance, staff training, policy management, and related tools. The platform is designed to assist with compliance management but does not constitute legal or regulatory advice.

3. Not Legal or Regulatory Advice

GuardWell Compliance is a software tool and does not provide legal, regulatory, or professional compliance advice. The content, checklists, templates, training materials, compliance scores, gap analyses, and recommendations provided through the Service are for informational and organizational purposes only. You should consult a qualified healthcare attorney or compliance consultant for advice specific to your practice.

Use of the Service does not guarantee regulatory compliance. GuardWell Compliance makes no warranties that use of the platform will satisfy any specific regulatory requirement or prevent regulatory action, fines, penalties, or adverse findings by any governmental authority.

4. AI-Generated Content Disclaimer

The Service uses artificial intelligence to generate training courses, policy templates, and compliance recommendations. AI-generated content is provided as a starting point only. Users must review all AI-generated content for accuracy and applicability to their specific practice before implementation. We do not warrant the accuracy, completeness, or currentness of AI-generated content.

5. Compliance Automation Disclaimer

GuardWell's auto-detection of compliance status, compliance scores, and gap assessments are automated determinations based on system data and should not be relied upon as definitive compliance evaluations. Users are responsible for the accuracy and completeness of all data entered into the platform. Healthcare regulations change frequently; users should independently verify that platform content reflects current requirements.

6. Subscription & Billing

Subscriptions are billed monthly or annually. Prices are as listed on our pricing page at the time of purchase. We reserve the right to change pricing with 30 days' notice. You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period. All fees are non-refundable except as required by applicable law.

7. Acceptable Use

You agree to use the platform only for lawful purposes related to healthcare compliance management. You may not: (a) share account credentials with unauthorized users; (b) attempt to reverse-engineer or decompile any portion of the platform; (c) use the platform to store or transmit malicious code; (d) exceed the staff seat limits of your subscription tier; or (e) upload PHI without an executed Business Associate Agreement (BAA).

8. Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted or error-free operation. The Service may be temporarily unavailable due to scheduled maintenance, upgrades, or factors beyond our control. We are not liable for any loss or damage resulting from Service unavailability.

9. Limitation of Liability

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. Our total aggregate liability is limited to the amount you paid for the Service in the 12 months preceding the claim. We are not responsible for regulatory penalties, fines, or other consequences arising from your compliance decisions.

10. Indemnification

You agree to indemnify, defend, and hold harmless Noorros, LLC dba GuardWell Compliance and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; (d) compliance decisions made based on information provided by the Service; or (e) any regulatory action related to your compliance program.

11. Dispute Resolution

Any dispute arising out of or relating to these Terms shall be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. You agree that dispute resolution proceedings will be conducted only on an individual basis and not in a class action. These Terms are governed by the laws of the State of Delaware.

12. Force Majeure

Neither party shall be liable for any failure or delay in performing its obligations where such failure or delay results from circumstances beyond reasonable control, including acts of God, natural disasters, pandemics, war, cyberattacks, government actions, power outages, or internet failures.

13. Intellectual Property

All content, features, and functionality of the GuardWell Compliance platform are owned by Noorros, LLC dba GuardWell Compliance. Your subscription grants you a limited, non-exclusive, non-transferable license to use the platform for your internal compliance management purposes.

14. Termination

We may terminate or suspend your account if you violate these terms. You may terminate your account at any time by contacting support@gwcomp.com or canceling your subscription through the platform. Upon termination, your data will be retained for 30 days for export, then permanently deleted.

15. Complete Terms

The complete and authoritative version of our Terms of Service is available at app.gwcomp.com/terms. In the event of any discrepancy between this summary and the full Terms of Service, the full version shall prevail. These Terms, together with our Privacy Policy, Business Associate Agreement, and Data Processing Agreement, constitute the entire agreement between you and GuardWell Compliance.
